Terms of Service

These Terms of Service ("Terms") govern your use of any product or service operated by Dearnode, Inc., a Delaware corporation ("dearnode", "we", "us"). By purchasing, installing, or using a Dearnode product, you agree to these Terms.

1. About Dearnode

Dearnode, Inc. is a Delaware C-corporation.

2. The services

These Terms apply to all software and services we operate, including:

  • Orbit for Mac — a multi-account Gmail and Google Workspace client for macOS.
  • Future Dearnode products, which we may add and document over time.

Each product may have product-specific notes (system requirements, supported languages, integrations) published on its dedicated page. Those notes are part of these Terms.

3. License and permitted use

When you purchase a Dearnode product, we grant you a personal, non-exclusive, non-transferable license to install and use the product, subject to these Terms.

You agree not to:

  • Reverse engineer, decompile, or disassemble the product, except where this restriction is prohibited by law.
  • Redistribute, resell, sublicense, or lease the product.
  • Share your license key with anyone else.
  • Remove or alter copyright, trademark, or other proprietary notices.
  • Use the product to violate the rights of others, or any applicable law.

4. Pricing and payment

Prices are listed in United States dollars (USD) on each product page. Applicable taxes are calculated and added at checkout by our payment processor (Stripe).

By providing payment information, you authorise Dearnode and Stripe to charge the applicable amount to the payment method you select.

5. One-time purchases

Dearnode products are sold as one-time purchases, not subscriptions. There is no recurring charge and nothing to cancel.

A purchase entitles you to ongoing use of the major version of the product available at the time of purchase, plus all minor updates within that major version, for as long as we operate the product. Major-version upgrades may be offered at a discount but are not guaranteed.

6. Refunds

Our refund policy is published at dearnode.com/refund and forms part of these Terms.

7. B2B custom development services

Custom development, consulting, and engineering services provided by Dearnode, Inc. to business clients worldwide are governed by separate written engagement letters, statements of work (SOW), or service agreements signed between Dearnode, Inc. and the client. These Terms of Service do not apply to B2B custom services; the specific engagement letter governs scope, deliverables, payment terms, intellectual property, warranties, governing law, and dispute resolution for that engagement.

8. License key and activation

After purchase you receive a license key by email. Each license key can be activated on up to three devices simultaneously by default. To move a license to a new device, deactivate an existing device in product settings or write to support@dearnode.com.

License keys are personal. Sharing keys with third parties is grounds for termination without refund.

9. Service availability and changes

We work hard to keep our products available and reliable, but we do not guarantee uninterrupted service. We may modify, suspend, or discontinue a product, in whole or in part, at any time. If we discontinue a product you have paid for, we will offer a refund proportional to the time since purchase.

10. Third-party services

Some of our products integrate with third-party services (for example, Google Workspace for Orbit). Your use of those services is subject to their own terms. We are not responsible for the availability, content, or behaviour of third-party services.

11. Disclaimer of warranties

The products are provided "as is" and "as available". To the maximum extent permitted by law, Dearnode disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, Dearnode's total liability to you for any claim arising from or relating to a Dearnode product is limited to the greater of the amount you paid to Dearnode in the twelve months preceding the claim, or USD 100.

Dearnode is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Termination

You may stop using the products at any time. We may terminate or suspend your license if you materially breach these Terms, including license-sharing, fraud, or chargebacks. On termination, your right to use the products ends; sections that by their nature should survive (intellectual property, disclaimers, limitations of liability, governing law) survive termination.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.

15. Dispute resolution

Any dispute arising from these Terms or use of a Dearnode product will be resolved by binding arbitration administered in Delaware, United States, in English. You and Dearnode waive the right to a trial by jury and to participate in a class action, to the extent permitted by law.

Nothing here prevents either party from seeking injunctive or equitable relief in court to protect intellectual property rights.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you at least fourteen days before the change takes effect by email or in-product notice. Continued use of the products after the effective date constitutes acceptance of the updated Terms.
